How this Agreement is structured
This End User Agreement adopts the Bonterms Standard End User Agreement (Version 1.0) as the base set of terms, supplemented by the Redmoon Provider-Specific Terms set out below.
The Bonterms Standard End User Agreement (Version 1.0) is incorporated into this Agreement by reference and is available at:

The Redmoon Provider-Specific Terms below are the “Provider-Specific Terms” referred to in that base agreement. In line with Bonterms Section 1.4 (Order of Precedence), if there is any conflict between these Provider-Specific Terms and the Bonterms base, the Redmoon Provider-Specific Terms prevail.

Redmoon Provider-Specific Terms
These are the “Provider-Specific Terms” referred to in the Bonterms Standard End User Agreement. In these terms, “Provider” means Redmoon Software Ltd and capitalised terms have the meaning given in the Bonterms base.
1. Provider details and notices (Bonterms Section 19.3)

2. Governing law and courts (Bonterms Section 19.2)
Notwithstanding the California default in Bonterms Section 19.2(b), the Governing Law is the laws of New Zealand and the Courts are the courts of New Zealand. Each party consents to the exclusive jurisdiction and venue of those courts.
3. Security Measures (Bonterms Section 3.2)
The Security Measures are the technical and organisational measures described in the Redmoon Data Processing Agreement (Annex II — Technical and Organisational Security Measures).
4. Data Protection Addendum (Bonterms Section 3.3)
The DPA is the Redmoon Data Processing Agreement (Version 1.0), available from redmoonsoftware.com (Legal > Data Processing Agreement) or on request at support@redmoonsoftware.com. The DPA is incorporated into this Agreement by reference.
5. Support Policy and SLA (Bonterms Sections 5.1 and 5.2)
Support Policy. Provider will respond to support requests within 24 hours, and will address critical issues as soon as reasonably practicable. Support is provided via support@redmoonsoftware.com and through the Atlassian Marketplace. SLA. No separate uptime Service Level Agreement applies unless stated in the Listing or an Order.
6. Additional Terms
The following Additional Terms modify or add to the Bonterms base. They are carried over from Redmoon’s prior EULA because they are not addressed in the Bonterms Standard Agreement.
6.1 Use of Customer name and logo (supplements Section 17 — Publicity). Notwithstanding Section 17, Provider may identify Customer as a customer of the Product and use Customer’s name and logo for that purpose in client lists and promotional materials. Provider will stop using Customer’s name and logo promptly upon Customer’s written request to support@redmoonsoftware.com.
6.2 Reviews (new term). To the extent permitted by the review policies of the Marketplace, Provider may remove, or request the removal of, any review submitted by Customer that is a blank one-star rating or that contains no constructive feedback.
6.3 Combined graphical output (additional licence under Section 13). Provider grants Customer permission for the vector and raster representations within the Product that Provider owns to be combined with representations that Customer creates, and for the combined result to be persisted in vector and/or raster format. Customer may use any such graphically persisted representation it creates for any purpose that does not interfere with Provider’s business operations.
6.4 Reservation of know-how (clarifies Section 13.1 — Reserved Rights). For clarity and without limiting Section 13.1, Provider retains all rights to use the programming tools, skills, content, methodologies, strategies and techniques it acquires or uses in providing the Product, Support and any Professional Services.
